Partner Commission Terms — Nigeria (NGN)

DRAFT — subject to legal review

These terms are a draft for legal review. They are not legal advice. They apply between you and MPRIMO TECH LTD (“MPrimo”, “we”, “us”) when you join the MPrimo Partner programme for Nigeria.

Version: 2026-10-20-draft

1. Who can join

Anyone aged 18 or over can apply. We review each application and may approve, reject, or later suspend it. Approval is not automatic. We review applications so that fake vendor accounts do not get onto the marketplace.

You apply with your name, email, phone number, and country (Nigeria or the United Kingdom), a short note on how you will find vendors, acceptance of these terms, and payout details for a Nigerian bank account. We confirm your email. We confirm the phone number you give us with a code sent to your email until a text-message check is available. If you already have an MPrimo buyer or seller account, you can opt in from that account. You do not create a second login.

2. You are self-employed

You are an independent, self-employed referrer. You are not an employee, worker, or agent of MPrimo, and you have no authority to bind MPrimo. You are responsible for your own tax and for any registrations the law requires of you. MPrimo does not deduct Nigerian tax for you and does not give tax advice.

3. How you earn

When we approve you, you receive a personal code and an invite link in the form `/sell?ref=CODE`. A vendor who joins through that link, or who types your code during seller signup, can be attributed to you.

The first valid code or link is the one that counts. A vendor has one partner. Once that vendor passes verification, the attribution is locked.

You do not earn for a signup on its own. You earn a one-off bonus of ₦2,000 when a vendor in Nigeria makes a first qualifying sale, as defined below. The current bonus is shown on your partner dashboard and on the public Partner page. MPrimo may change the amount for vendors who verify after the change. A vendor keeps the amount that was in force when that vendor was verified.

Nigeria does not currently add a percentage of later sales. If we later switch on a percentage for Nigeria, it will be a percentage of the item subtotal described in section 4, and the dashboard will show it before it applies to new vendors. The default is zero.

4. Qualifying sale

A qualifying sale is an order that:

  • was paid for a real purchase
  • was delivered successfully
  • is still standing 48 hours after delivery, with no open dispute

The buyer dispute window is 48 hours after delivery unless your dashboard shows a different number. If the buyer opens a dispute or asks for a refund during that window, the order does not qualify while that case is open. If the case ends with the sale left in place, the window still has to finish. If the order is refunded, it does not qualify. A later delivered order can then become the first qualifying sale. A refund that happens after the window still reverses an earning that was already approved.

Where a percentage of sales applies, the amount is calculated on the item subtotal for that vendor: the price of the goods times the quantity. Shipping, taxes, and amounts that were refunded are not included. Each such order is calculated only after its own 48-hour dispute window.

5. Refunds after approval

If a refund or chargeback happens after we have approved an earning, we deduct the earning from amounts we owe you later. We do not pay the same sale twice. Store credit that was already added to an MPrimo wallet is not cashed out; a later refund reduces future earnings instead.

6. Payouts

On the 5th of each month we gather everything approved in the previous calendar month, together with any earlier balance that was below the minimum and rolled forward. The minimum payout is ₦5,000. Below that, the balance stays on your account until a later month. We pay the Nigerian bank account you gave us. Payouts are prepared for our team to pay manually. Money is not sent automatically. You must keep the account name and number accurate. You will see the payment on your dashboard after we mark it paid.

7. No self-referral

You must not refer yourself. We treat it as self-referral if the vendor is the same person as you, or uses the same email address, phone number, bank account, or device. A self-referral is cancelled and does not earn.

8. Conduct

You must not:

  • create or recruit fake vendors, or buy from a vendor only to trigger a bonus
  • send spam, or contact anyone who has asked you to stop
  • pretend to be MPrimo staff, or misrepresent who you are
  • misrepresent what a vendor is paid, what it costs to sell, or what you earn
  • share a vendor’s identity documents with us or with anyone else

You may tell vendors: “Sell free for 3 months.” The conditions of that offer are in the seller terms, not in headlines.

9. Data protection

We use your name, email, phone, country, payout details, device identifier, and referral activity to run this programme, to review applications, to prevent fraud, to calculate earnings, and to pay you. The Nigeria Data Protection Act 2023 applies to this Nigeria programme. We keep the data while your account is open and afterwards for as long as tax, accounting, and fraud rules require. You can ask for a copy or a correction by emailing legal@mprimo.com.

10. Ending the programme

You may stop at any time by emailing legal@mprimo.com. We may suspend or close your account if you break these terms, if we suspect fraud, or if we end the programme. Earnings that already qualify are still paid under section 6, unless they came from prohibited conduct, in which case we may cancel them.

11. Changes

We may change these terms. We will publish a new version and ask you to accept it before it applies to you. We keep the version you accepted. A change does not rewrite an earning that has already been approved, and it does not change the snapshot stored when a vendor was verified.

12. Law and contact

These Nigeria terms are governed by the laws of the Federal Republic of Nigeria. The courts of Nigeria have jurisdiction.
