These Terms of Sale and website terms govern use of https://www.mprimo.com, operated by MPRIMO TECH LTD (company no. 16872398, registered in England and Wales, registered office as filed at Companies House) (“MPrimo”, “we”, “us”).
UK consumer protections in this document lean on the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, and UK GDPR. They sit alongside our Privacy Policy and Returns & Disputes policy.
1. About these terms
- By using the Site or placing an order you agree to these Terms and our Privacy Policy.
- If you are a consumer in the UK/EEA, nothing in these Terms takes away mandatory statutory rights.
- Business customers: sections marked “B2B” may apply; some consumer rights do not.
2. MPrimo’s role
MPrimo provides the platform, payment facilitation, and shipping tools. The contract for goods may be between the buyer and a third-party seller. MPrimo is not the seller unless the listing says “Sold by MPrimo” or “Sold by MPRIMO TECH LTD”.
Where a listing states Sold by MPrimo / MPRIMO TECH LTD, the contract for goods is with us.
Both can appear. The checkout page identifies the seller. Independent sellers supply their goods; MPrimo facilitates checkout and shipping arrangement as described at purchase. Payment is taken by Stripe, or by another provider shown at checkout (including Paystack where that method is offered).
3. Accounts
- You must provide accurate information and keep credentials secure.
- You must be 18 or over (or the age of majority where you live).
- We may suspend accounts for fraud, abuse, or breach.
4. Orders, pricing and payment
- Product descriptions and images are illustrative; colours may vary.
- Prices are shown in the currency indicated at checkout and include or exclude VAT/taxes as stated. Customs and import duties for cross-border orders may be extra, and are shown or estimated where we can.
- An order is an offer. Acceptance occurs when we send an order confirmation or dispatch notice, as stated at checkout.
- Payment is processed by Stripe (or our then-current provider, including Paystack where offered). We do not store full card numbers.
- We may cancel orders for stock errors, pricing errors, suspected fraud, export restrictions, or force majeure, and will refund amounts received for cancelled items.
5. Shipping and delivery
- Delivery estimates are not guarantees. Cross-border (Africa, China, US, UK/EU) times vary with carriers and customs.
- Risk and title: for consumer buyers in the UK, risk in goods typically passes on delivery to you (or to a person you nominate). Title passes once payment has cleared and the seller has allocated the goods to your order.
- Tracking is provided where the carrier supports it (via Shippo or carrier tools).
- Failed delivery or an incorrect address supplied by you may incur re-delivery fees.
6. Cancellation and returns (UK consumers)
- Cooling-off (Consumer Contracts Regulations 2013): for most distance sales of goods by a trader to a UK consumer, you may cancel within 14 days of receiving the goods, subject to exceptions (for example sealed goods unsealed where they are not suitable for return for health or hygiene reasons; custom-made goods; perishables).
- To cancel, follow the Returns & Disputes policy or email support@mprimo.com with your order number.
- Return shipping costs: you pay return postage unless the item is faulty, not as described, or we or the seller made an error.
- Refunds are made within legal timeframes after we receive the goods or evidence of return, to the original payment method.
- Faulty goods (Consumer Rights Act 2015): goods must be as described, of satisfactory quality, and fit for purpose. The short-term right to reject, repair or replacement, and price reduction or refund apply as the statute provides.
- Third-party sellers: we will help route claims. Statutory rights are primarily against the seller of the goods, while we remain responsible for our platform services.
Full process: see the Returns & Disputes policy.
7. Acceptable use
You must not misuse the Site, scrape it without permission, upload unlawful content, infringe intellectual property, circumvent payments, or sell prohibited or restricted goods (including sanctions breaches, counterfeits, and dangerous goods).
8. Intellectual property
The MPrimo name, logos, and Site content are owned by MPRIMO TECH LTD or its licensors. You receive a limited licence to use the Site for shopping and selling as these Terms permit. Site copyright notices appear in the footer.
9. Liability
- Consumers: we do not exclude liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
- Subject to clause 9.1, we are not liable for indirect loss, loss of profit, delay caused by carriers or customs outside our reasonable control, or seller-fulfilled goods beyond our statutory or assumed responsibilities.
- Platform role: where we are not the seller, our liability for the goods themselves is limited as the law allows. We remain responsible for providing the platform with reasonable care and skill.
- B2B: liability is capped at the greater of (a) fees you paid us for the order or service in the prior 12 months, or (b) £500.
10. Disputes between buyers and sellers
Follow the Returns & Disputes policy. Buyers can open a dispute within 48 hours after delivery. Payouts are released 48 hours after delivery. If a dispute is open, the payout stays held until the dispute is resolved. We may mediate, freeze payouts, or reverse transactions for fraud or policy breaches where our payment tools allow. We are not a court or an arbitrator of last resort.
11. Governing law and disputes
- These Terms are governed by the laws of England and Wales.
- The courts of England and Wales have jurisdiction. UK consumers may also bring claims in their UK home courts where the law allows.
- EU consumers: mandatory local consumer protections may still apply.
12. Changes
We may update these Terms by posting a new version on the Site. Continued use after the effective date constitutes acceptance, except where consent is required for material changes affecting existing orders.
