Partner Commission Terms — United Kingdom (GBP)
DRAFT — subject to legal review
These terms are a draft for legal review. They are not legal advice. They apply between you and MPRIMO TECH LTD (“MPrimo”, “we”, “us”) when you join the MPrimo Partner programme for the United Kingdom.
Version: 2026-10-20-uk-3
1. Who can join
Anyone aged 18 or over can apply. We review each application and may approve, reject, or later suspend it. Approval is not automatic. We review applications so that fake vendor accounts do not get onto the marketplace.
You apply with your name, email, phone number, and country (Nigeria or the United Kingdom), a short note on how you will find vendors, acceptance of these terms, and payout details for a UK bank account. We confirm your email. We confirm the phone number you give us with a code sent to your email until a text-message check is available. If you already have an MPrimo buyer or seller account, you can opt in from that account. You do not create a second login.
2. You are self-employed
You are an independent, self-employed referrer. You are not an employee, worker, or agent of MPrimo, and you have no authority to bind MPrimo. You are responsible for your own tax, including any Self Assessment and National Insurance that applies to you. MPrimo does not operate PAYE for partners and does not give tax advice.
3. How you earn
When we approve you, you receive a personal code and an invite link in the form `/sell?ref=CODE`. A vendor who joins through that link, or who types your code during seller signup, can be attributed to you.
The first valid code or link is the one that counts. A vendor has one partner. Once that vendor passes verification, the attribution is locked.
There is no cash bonus for a signup, and no cash bonus when a United Kingdom vendor makes a first sale.
For a vendor in the United Kingdom you earn:
- 3% of the qualifying order value on that vendor’s qualifying orders for 6 months after the vendor is verified
- £5 of MPrimo store credit once that vendor’s first order qualifies
Store credit is credit only. It is not cash. It can be spent on MPrimo. It is not withdrawn to a bank.
The percentage, the 6 month period, and the £5 credit are the current settings. They are shown on your dashboard. MPrimo may change them for vendors who verify after the change. A vendor keeps the settings stored when that vendor was verified, for the length of that earning period.
The percentage is a percentage of the sale (the item subtotal). It is not a share of any other amount, and we do not show you any other commercial rate.
4. Qualifying sale
A sale qualifies 48 hours after delivery if there is no open dispute. A refund after that is taken off future earnings.
A qualifying order:
- was paid for a real purchase
- was delivered successfully
- is still standing 48 hours after delivery, with no open dispute
The buyer dispute window is 48 hours after delivery unless your dashboard shows a different number. If the buyer opens a dispute or asks for a refund during that window, the order does not qualify while that case is open. If the case ends with the sale left in place, the window still has to finish. If the order is refunded, it does not qualify. A later delivered order can then become the first qualifying sale. You do not earn on later orders until a first order has qualified. A refund that happens after the window still reverses an earning that was already approved.
The order value is the item subtotal for that vendor: the price of the goods times the quantity. Shipping, taxes, and amounts that were refunded are left out. Each order is calculated after its own 48-hour dispute window. An order counts toward the 6 months only if it was placed after verification and before the end of that 6 month period.
5. Refunds after approval
If a refund or chargeback happens after we have approved an earning, we deduct that earning from amounts we owe you later. A partial refund reduces the sale earning in proportion to the goods refunded. If the first qualifying order is fully refunded, the £5 store credit is deducted from future earnings. Credit already spent in the shop is not pulled back as cash.
6. Payouts
Cash earnings (the percentage of sales, and any badge bonus if one is configured) are paid monthly. On the 5th of each month we gather everything approved in the previous calendar month, together with any earlier balance that was below the minimum and rolled forward. The minimum payout is £10. Below that, the balance stays on your account until a later month. We pay the UK bank account you gave us. Payouts are prepared for our team to pay manually. Money is not sent automatically. Store credit is separate and is not part of the bank payout. You will see a bank payout on your dashboard after we mark it paid.
7. No self-referral
You must not refer yourself. We treat it as self-referral if the vendor is the same person as you, or uses the same email address, phone number, bank account, or device. A self-referral is cancelled and does not earn.
8. Conduct
You must not:
- create or recruit fake vendors, or buy from a vendor only to trigger an earning
- send spam, or contact anyone who has asked you to stop
- pretend to be MPrimo staff, or misrepresent who you are
- misrepresent what a vendor is paid, what it costs to sell, or what you earn
- share a vendor’s identity documents with us or with anyone else
You may tell vendors: “Sell free for 3 months.” The conditions of that offer are in the seller terms, not in headlines.
9. Data protection
We use your name, email, phone, country, payout details, device identifier, and referral activity to run this programme, to review applications, to prevent fraud, to calculate earnings, and to pay you. UK GDPR applies to this United Kingdom programme. We keep the data while your account is open and afterwards for as long as tax, accounting, and fraud rules require. You can ask for a copy, a correction, or another right that applies to you by emailing legal@mprimo.com. You can also contact the Information Commissioner’s Office.
10. Ending the programme
You may stop at any time by emailing legal@mprimo.com. We may suspend or close your account if you break these terms, if we suspect fraud, or if we end the programme. Earnings that already qualify are still paid under section 6, unless they came from prohibited conduct, in which case we may cancel them. The 6 month earning period for a vendor ends if we close your account for prohibited conduct.
11. Changes
We may change these terms. We will publish a new version and ask you to accept it before it applies to you. We keep the version you accepted. A change does not rewrite an earning that has already been approved, and it does not change the snapshot stored when a vendor was verified.
12. Law and contact
These United Kingdom terms are governed by the laws of Northern Ireland. The courts of Northern Ireland have jurisdiction.
